About the role
This is a fully remote role for an attorney licensed to practice in the United States
Responsibilities
Primarily responsible for leading legal work for corporate development activities at all stages of an M&A deal, from transaction structuring and term sheet negotiation to due diligence, definitive agreement negotiation, and post-closing integrationLeading legal acquisition team to execution of the firm's global M&A transactionsProviding creative, innovative, and effective legal solutions for business stakeholders on routinely short timelinesDistilling complex or ambiguous legal situations into clear articulations of options and alternativesBe an outstanding collaborator with colleagues in legal, finance, accounting, corporate development, compliance, tax, equity, human resources, compensation and other areasRequirements
8+ years of relevant mergers and acquisitions experience at a leading national firmPreference for 2+ years of comparable in-house practice, with exposure to high-growth, highly acquisitive technology companiesExceptional oral communication and executive presence, as well as poise to handle pressure-filled decision makingAbility to lead transactions effectively while overseeing the work of / managing other team membersExperience in public-public acquisitions, public-private, and private-private, utilizing cash, stock, or a combination for considerationExperience crafting and implementing various equity-based compensation schemas for acquisition target founders/executivesAdvanced understanding of the M&A regulatory landscape and ramifications Excellent project management, negotiation, drafting, and time management skillsExcellent judgement, analytic rigor, and business pragmatismDeep curiosity and problem solving skillsWillingness to roll up sleeves (no job too big, no job too small)Must be active and in good standing in one State Bar in the United StatesNice to Haves
