LEGAL AND COMPLIANCE ANALYST/CORPORATE PARALEGAL

RESPONSIBILITIES:

  • Draft and maintain corporate documents including board consents, resolutions, meeting minutes, transactional closing binders, and agreements
  • Circulate shareholder notices and quarterly company disclosures to relevant equity holders in compliance with Delaware corporation law and SEC rules
  • Support finance team with preparing documents for board meetings, financial transactions, stock transfers, and employee equity grants
  • Coordinate and track signatures on board consents, agreements, and transactional documents
  • Assist with formation of new corporate entities, both domestic and international
  • Manage and track annual corporate obligations and filings for a rapidly expanding corporate portfolio
  • Support negotiation and management of non-disclosure agreements
  • Produce documents and templates related to the development and implementation of corporate policies
  • Assist with other legal matters including litigation, contract management, and general legal support

BASIC QUALIFICATIONS:

  • Bachelor’s degree
  • 5+ years of experience working as a paralegal or legal analyst in a law firm or in-house legal, corporate secretary, or finance department

PREFERRED SKILLS AND EXPERIENCE:

  • Paralegal certificate
  • Notary Public
  • Basic understanding of stock options, restricted stock units, and vesting schedules
  • Strong communication skills, both verbal and written, and the ability to interact with colleagues at all levels of the corporate structure as well as investors and outside counsel
  • Experience working for a mature private company
  • Experience with the formation and management of international entities
  • Ability to prioritize and handle numerous competing demands in a high-volume, fast-paced working environment

  • To conform to U.S. Government space technology export regulations, including the International Traffic in Arms Regulations (ITAR) you must be a U.S. citizen, lawful permanent resident of the U.S., protected individual as defined by 8 U.S.C. 1324b(a)(3), or eligible to obtain the required authorizations from the U.S. Department of State.
